Event Terms And Conditions For Participants/Delegates/Accreditations/Sponsors

The European Broadcasting Union, an association duly established under Swiss law, located at L’Ancienne-Route 17A, 1218 Grand-Saconnex (Geneva), Switzerland (hereafter the “EBU”, “we”, “us”,  or “our”) is the organizer of the News Xchange event (whether being held physically or virtually with the use of video or web conferencing tools/platforms) (the “event”).

We have appointed News Agenda Ltd to organize the event on our behalf. As such, contracts and/or commitments that you will conclude with News Agenda Ltd (e.g. your registration to our site, your registration to the event, your bookings at the event, your cancellation(s), etc.) either formed through our site www.newsxchange.org or as a result of visits made by you are governed by the conditions News Agenda Ltd and you will conclude, as our site will redirect you to News Agenda Ltd for these purposes. As explained here, your use of the event registration platform operated by News Agenda Ltd is submitted to News Agenda Ltd. Although News Agenda Ltd terms and conditions are approved by you through our site www.newsxchange.org, we are not part to the contracts and/or commitments you conclude with News Agenda Ltd, as set out above.

Notwithstanding the foregoing, we draw your attention to these terms which apply between you and us:

The following contain our terms and conditions (the “terms”) applicable to the event in relation to the registration, participation, and where applicable, the cancellation of the participants/delegates/accreditations to the event (“you”, “your”, “yours”, being specified that if you are representing an organisation, you shall have authority to do so; in such case “you” and/or “your” or “yours” also refer to that organisation). If you do not have authority to represent your organisation, or if you do not agree to any portion of these terms, you shall refrain from submitting a registration to the event.

Language

The English language version is the version that governs these terms. In case of any conflict between the English language version and a translated version, the English language version will always prevail.

Binding effect

Prior to proceeding with your registration to the event, and therefore prior to being redirected to News Agenda Ltd for the purposes of proceeding with your registration submission via News Agenda Ltd and/or via resources provided by News Agenda Ltd, your agreement to these terms is required. We inform you that by submitting your registration to the event via t News Agenda Ltd and/or via resources provided by News Agenda Ltd, you agree to be bind by these terms without modification.

You agree and understand that your submission for registration to the Event is subject to confirmation that will be sent to you via email. Your registration can be denied without justification. We are not responsible nor liable for any costs and/or expenses you may incur due to the denial of your registration to the event and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

Payment of fees

The financial conditions to your registration to the event shall be communicated to your attention via News Agenda Ltd and/or via resources provided by News Agenda Ltd. The fees shall be paid in accordance with the conditions set out in the contracts and/or commitments you conclude with News Agenda Ltd. In the absence of specific conditions on the registration form, the fees shall be paid in accordance with the payment terms as set out on the invoice, but in any case, before the beginning of the event. We are not responsible nor liable for any costs and/or expenses you may incur due to the registration to the event and to your payment of the fees and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

Event programme changes and other event changes (including cancellation, postponement)

It may be necessary to change the event, including the date, venue (e.g. location change and/or swap to a virtual event), programme of the event and/or the speakers, at any time prior to the event and/or during the staging of the event, for any reason whatsoever including force majeure event. Also, it may be necessary to postpone and/or cancel the event for any reason whatsoever including force majeure event. In that case, you will be notified accordingly and the conditions governing such change(s) are exclusively governed by the conditions News Agenda Ltd and you conclude. We are not responsible nor liable for any costs and/or expenses you may incur due to the change(s) the event (for any reason whatsoever including force majeure event) and you hereby disclaim any and all rights to claim for damages and/or indemnification against us. 

Cancellation and/or withdrawal of your registration

Your registration can be cancelled and/or withdrawn at any time. The conditions governing such cancellation and/or withdrawal (including any right of withdrawal, if any) are exclusively governed by the conditions News Agenda Ltd and you conclude. We are not responsible nor liable for any costs and/or expenses you may incur due to the cancellation and/or withdrawal of your registration (for any reason whatsoever including force majeure event) and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

In addition to the aforementioned registration cancellation and/or withdrawal conditions governed by the conditions News Agenda Ltd and you conclude, we inform you that your registration or attendance at the event can be cancelled and/or withdrawn at any time by us with immediate effect in case of your violation of these terms. Such cancellation and/or withdrawal by us is without incurring any liabilities to you and/or to any third party. In such event, all fees remain due and no refund will be possible.

Refunds

There will be no refunds issued under any circumstance.

Travel and hotel accommodations (where applicable)

You are fully responsible for making your own travel and accommodations arrangements to the event venue unless you have been informed otherwise in writing by News Agenda Ltd. It is recommended that you check your visa requirements with your local embassy or consulate. We are not responsible for any fees/expenses and other related formalities (including related fees/expenses) relating to your travel and accommodations arrangements to the event venue. We are not responsible if you are unable to attend the event for any reason whatsoever including force majeure event and/or any event out of your control.

Insurance

We recommend you subscribe appropriate insurance coverage against cancellations, postponements pertaining to the event and/or pertaining to cancellation and/or withdrawal of your registration, as well as to have adequate health and accident insurance.

Your conduct at the event

You shall not display any content, adopt a conduct, or incite any person to commit an act, which:

  • is threatening, libellous, defamatory, or obscene;
  • would constitute a criminal offense, give rise to civil liability, or otherwise violate law in any manner;
  • infringes the intellectual property rights, privacy, or other rights of any third parties; or

constitutes or contains false or misleading statements.

You are required to keep your personal/corporate belongings (including your computer and/or other devices) with you at all times while participating/attending the event. We are not responsible nor liable for any costs and/or expenses you may incur due to damage to, or loss of, personal/corporate belongings and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

You are responsible for securing that you have all authorizations to participate/attend the event and to that effect to also have, in particular, an appropriate Internet connection, equipment and compatible browser software in order to utilize any video or web conferencing platform/tool regardless if the event is held physically or virtually.

Photography and filming

By attending and/or participating to the event, you acknowledge that certain sessions and/or social functions may be, photographed and/or filmed and/or web streamed and that some of these photos and video recordings can be used by us for promotional purposes, future marketing materials, illustration, information and dissemination activities via the site or inclusion on EBU’s social media pages which may process personal data according to their own policies. We may also use the video recordings for the purposes of the minutes of the event and/or news purposes. Should you have any concerns about this, or do not wish to be featured in any of these materials, please approach [email protected] and notify accordingly. However, you are advised that incidental inclusion of some images of yourself within any recordings or photos may take place. Photos and recordings will be publicly available.

Assistance – Dietary requirements (where applicable)

If you need any special assistance (e.g. in relation to a person who is blind/visually impaired or a person with a physical disability), you need to mention this with your registration submission via News Agenda Ltd and/or via resources provided by News Agenda Ltd. The conditions governing such special assistance are exclusively governed by the conditions News Agenda Ltd and you conclude. We are not responsible nor liable for any costs and/or expenses you may incur due to this special assistance and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

Data Protection

By submitting your registration as set out above, you acknowledge that your personal data will be collected and processed by EBU as controller and News Agenda Ltd as processor as further detailed in our Privacy Notice for Events, which you acknowledge having read. Please note that your personal data may be shared with the organisation for which you work for, for staff management purposes to allow adequate follow-up (as the case may be).

Intellectual property rights

For the purposes of these terms, “intellectual property rights” are any and all rights (including without limitation copyright, trademarks, trade names, know-how, design software applications, websites, rights in databases, compilations and designs, moral rights) and prerogatives, registered or not, arising from the Swiss and international legislation on the protection of notably patents, design, trademark, as well as know-how and trade secrets. You agree that all materials made available in connection with the event, including, without limitation, notes, records, studies, reports, brochures, drawings or other documents and tangible items including images, texts, comments, graphics, illustrations, logos, icons, EBU’s brand and/or products names are (i) the exclusive property of EBU, and/or of its licensors and (ii) could be protected by intellectual property rights. We reserve all rights not expressly granted under these terms. These terms do not grant to you any license nor any right to use these materials made available to you except where such use is limited to the purposes of your participation/attendance to the event. You understand and agree that we are not responsible for any other use and/or disclosure of such materials by yourself (such other use and/or disclosure being a breach of these terms) and/or by any other participant/delegate/accreditation to the event.

Participants/Delegates/Accreditations pack

In most circumstances, papers will be issued on the day of the event. This documentation is made available only to those participating/attending the event. This documentation is provided for your personal use and may not be reproduced, shared or distributed (whether in whole or part) by any method whatsoever without prior written permission given to you by the intellectual property rights’ owner. In case you do not abide by the terms of this section, you agree to indemnify us in case of any third-party intellectual property rights claim infringement. We are not responsible nor liable for any further use of such material, content, data and/or information you may incur due to this and you hereby disclaim any and all rights to claim for damages and/or indemnification against us.

Marketing

Please note that you cannot exhibit or hand out marketing material or other printed material at the event venue, prior to and/or during the event, unless we have granted you prior written approval. If you wish to display such material, you may contact us at [email protected].

Liability

You understand and agree that we expressly disclaim all liabilities pertaining to, and/or warranties of any kind, express or implied. By way of example, you hereby expressly waive any and all claims against us for any of the following, understanding and agreeing that no warranties are made herein with respect to the following: (a) the event will meet your requirements or expectations; (b) the event will be uninterrupted, timely, secure, and/or error-free; and/or (c) the results that may be obtained from attending the event will be accurate or reliable.

Force majeure

For the purposes of the terms, a force majeure event means any event which is beyond our and/or your reasonable control, including but not limited to, Act of God, fire, flood, lightening, storm, earthquake or other climatic or meteorological catastrophes, failure or delay of common carrier or impairment or lack of adequate transportation facilities, accident or repair to machinery, act of sabotage including but not limited to piracy or hacking, embargo, government requirement or action including the imposition of sanctions by any country against Switzerland or a country in which a party is registered or a country in which the event is deemed to be staged, war, civil or military authority, terrorism and industrial dispute, strike or labour disturbance, regulatory change or change in law, or any event or circumstance which puts at risk or endangers the health, safety or security of you and/or our and/or your personnel, which prevents and/or affects the performance of these terms and/or the staging of the event, and could not have been prevented, avoided or remedied by the party affected by the force majeure event (i.e. the party not able to perform) taking reasonable precautions (“force majeure event”). Performance under these terms is deemed to be suspended (except for payment obligations), without any liability, for the period that the force majeure event continues to affect performance.

Entire agreement

These terms constitute the entire agreement and understanding between you and us. You confirm that you have not relied upon any statement, representation or understanding that is not expressly set out in these terms and that you shall have no remedy in respect of any statement, representation or understanding which is not expressly set out in these terms. We make no representation or warranties and shall have no responsibility whatsoever in relation to your registration via News Agenda Ltd and/or via resources provided by News Agenda Ltd. Your use of any such third-party websites and/or subsites is exclusively and strictly governed by the contracts and/or commitments concluded between you and News Agenda Ltd and/or any other third-party websites and/or subsites.

Update to Terms, Governing Law and Jurisdiction

These terms are effective from 1 March 2023 (or any earlier date if posted earlier). We may update these terms at any time. Consequently, you are invited to regularly refer to the latest terms in effect. You agree that these terms will be exclusively governed by the laws of Switzerland, without giving effect to any conflicts of law principles. Any dispute, claim or controversy arising out of, connected with or relating to the conclusion, validity, interpretation or performance of these terms will be under the exclusive jurisdiction of the competent courts of the Canton of Geneva, Switzerland with an appeal to the Swiss Federal Supreme Court remaining reserved.
